You must agree to these terms and conditions before ordering Products from OfficeandChairs. Please read them carefully before proceeding to checkout. These terms are assuming you are a business customer and as such a business to business relationship is described. A Full vat invoice is generated for every order taken on this site.

1.Definitions and interpretation

In this Agreement "we" means SCRIBESDIRECT trading as OFFICEandCHAIRS (and “us" and “our" shall be construed accordingly) and “you" means the relevant customer or potential customer as the case may be (and "your" shall be construed accordingly).

In this Agreement, the following definitions shall apply:

"Agreement" this means this agreement incorporating any terms set out in our Second Acknowledgement

“1st Acknowledgement" this means the initial automatic email acknowledgment which we will send to you after receiving your Order.

"Order" this means your order for Products made via the OFFICEandCHAIRS WebSite.

"Products" this means goods which may be purchased by you from our Site.

“2nd Acknowledgement" this means the email acknowledgment which we will send to you either confirming (where appropriate) and (at which point this Agreement will become a binding contract) we have accepted your instruction or advising you we cannot fulfil your order and we intend to refund (within 7 working days) any payment you have made to us relating to any “Order(s)” you have placed on our website.

“Site" this means the website at http://www.officeandchairs.co.uk or any successor site operated by us from time to time.

2.This Agreement

The advertising of Products on our Site constitutes an “invitation to treat" and your Order for Products constitutes a contractual offer. No contract comes into force between you and us unless and until we accept your Order.

In order to enter into this Agreement with us, you will need to take the following steps:

a) You must add any the Products you wish to purchase to your shopping cart, and then proceed to the checkout
b) If you are a new customer, you must then create an account with us and log in if you are an existing customer, you must enter your login details
c) Once you are logged in, you must select your preferred method of delivery and confirm your order and your consent to the terms of this Agreement
d) If you have a PayPal account and wish to pay using that account you can do so using the link to PayPal at the checkout stage where you will be transferred to the PayPal website to complete you payment, or you can pay online via our Secure PayPal Pro Cart. You do not need a PayPal account to use the second option.
e) We will then send you the First Acknowledgment and …
f) Once we have checked whether we are able to meet your Order, we will either send you the Second
Acknowledgement (at which point this Agreement will become a binding contract) or we will confirm by email that we are unable to meet your order and refund your PayPal payment or destroy your payment card details.

Please note that we will not file a copy of this Agreement. We may update the version of this Agreement on the Site from time to time, and we do not guarantee that the version you have agreed to will remain accessible. We therefore recommend that you download, print and retain a copy of this Agreement for your records.

The only language in which we offer this Agreement is English UK.

3. About us

Our full name is SCRIBESDIRECT trading as OFFICEandCHAIRS. Our trading address is 20 Forresters road, Burbage, Hinckley, Leicestershire LE102RX. Our contact e-mail address is info@officeandchairs.co.uk and should be used for all correspondence relating to your order.

4. The Products

Products available from this site will range from office chairs to various types of office furniture and equipment - However from time to time new product ranges may be introduced without prior notice.

5. Price and Payment

Prices for Products are quoted on the Site. The Site contains a large number of Products and it is always possible that some of the Products listed on the Site may be incorrectly priced. We will verify prices as part of our sale procedures so that a Product's correct price will be stated [in the Second Acknowledgement / after you pay for the Product. If you accept the revised price we will invoice you for the difference.

In addition to the price of the Products, you may have to pay a small delivery charge, which will be as stated in the Second Acknowledgement / when you pay for the Product. - Delivery charges will vary for customers not in Mainland UK, please contact us before placing your order for a quote.

Payment must be made before any products are despatched or ordered with our suppliers. We may withhold the Products and / or terminate this Agreement if the payment is not received from you in full, within 7 working days, in cleared funds.

The prices on the Site do not include any value added or sales taxes (Prices that do are only where applicable and clearly stated)

Prices for Products are liable to change at any time, but changes will not affect Agreements which have come into force.

6. Delivery

We will arrange for the Products to be delivered to the address for delivery indicated in your Order.

Point of Delivery

In accordance with normal transport practices all goods will be delivered to the goods inwards department or reception on the ground floor and off-loading facilities must be provided by the customer. If further transfer or installation is required, particularly for large and heavy items, this must be requested at the time of ordering and an additional charge will be levied. Please note that a signed consignment note constitutes delivery of goods. Please check that the number of boxes received, corresponds with the delivery note before signing.


IMPORTANT INFORMATION REGARDING TRANSIT DAMAGE ON CARRIER-DELIVERED ITEMS:
Carriers will NOT entertain claims for damage when items have been signed for as 'RECEIVED IN GOOD CONDITION'. It is your responsibility to examine the package thoroughly and write 'DAMAGED' on the carrier's paperwork before signing if you feel there is any indication whatsoever that your package has been damaged in transit.
We cannot help with claims which you have invalidated if you ignore this advice.


Signed-for carrier: Depending on the item, this may be an overnight, 2-3 working day, or 3-5 working day service. If the carrier misses you they should leave a card through your door with details of how to contact the local delivering depot and rearrange delivery. If you fail to respond, the package will be returned to us and you will have to pay the carriage again. There are occasions when drivers fail to leave cards – so if you have not received your item within one or two days of the notified expected delivery period having expired, please contact us so that we can chase it up for you. We would prefer to make calls than to have your item arrive back!

We will use reasonable endeavours to deliver products on or before the date for delivery stated above - However, we cannot guarantee delivery by the relevant date. We do however guarantee that unless there are exceptional circumstances all deliveries of Products will be dispatched within 70 days of receipt of payment.

We will only deliver Products within Mainland UK for a set price, delivery charges for addresses outside of the Mainland UK and in the highlands of Scotland will vary. Please also note that the delivery charge is for delivery in normal business hours (9am till 5pm - Monday to Friday), delivery at any other time or day will require additional payment.

Items sent by carrier are automatically insured. However, in order for this insurance to work it is necessary for us to register a claim within 48 hours of delivery of goods. This means that we need to know within 36 hours, preferably by telephone or email. When signing for the package, you will be signing to say that you have received it in good condition. IT IS IMPORTANT that you actually examine the outside of the carton on all sides before you sign – noting ‘Damaged Carton’ or similar on the driver’s paperwork if necessary. You should keep all packaging until you are satisfied that the item inside is undamaged – any claim for transit damage may depend on the packaging being available for inspection. If the claim is allowed, the carriers will normally pay for collection.

Delivery will be to ground floor entrance only. The purchaser may be required to provide free assistance to unaccompanied driver. Delivery queries including shortages and damages must be notified in writing by 10am on the day following delivery otherwise Chair Office cannot be held responsible.

7. Risk and title
The Products will be at your risk from the time they have been signed for at point of delivery. Ownership of the Products will only pass to you after we receive full payment of all sums due in respect of the Products (including delivery charges).

8. Product Returns

Goods will only be accepted for return if unused and in a re-saleable condition and in original packaging (Fully dis-assembled) - Unless the product is being returned due to a manufacturing fault or supplier error (See Below), there will be a handling charge of £ 35 or 15% of the invoice value, whichever is the greater, for Chairman, Club and Tub chairs the charge is 25% or £ 65, whichever is the greater, to cover for the collection fee, unless you return the goods yourself at your own expense. We suggest, if choosing this option you retain any proof of posting and ensure you use a signed for service. Please contact us for the relevant return address for your item. Additionally, if the product needs re-boxing a charge of £ 15 per chair will be implemented.

All returned goods will be inspected and we reserve the right to charge for incomplete returns, orders placed in error or not wanted prior to any credits being raised. These warranties do not affect your statutory rights. Please be aware it can take up to 10 working days for the courier to collect a return request and return inspections are only performed two days a week - Again, These warranties do not affect your statutory rights

9. Defective Products / Damaged Items

Our obligation is to replace any damaged parts, if the item has been delivered with a damaged replaceable part we will send a replacement to you - However you must notify us within 48 hours that the item has damage. We will not replace chairs that have replaceable damaged parts; chairs will only be replaced if the parts are not replaceable.

Products allowed to be returned by you because of a manufacturing defect/fault will be refunded in full only if they are returned in the same packaging as they were delivered and once they have been checked and confirmed defective by our returns department (including the cost of sending the Products to you, and the cost of returning the Products to us). Alternatively, if we and you agree, we may supply you with a replacement product - Items that are returned for any reason apart from the above will be have our standard handling charges applied (See Section 8 above)

10. Refunds

Goods will only be accepted for return if unused and in a re-saleable condition and in original packaging (Please see section 8 for more information about returns & handling charges)

11. Warranties

We warrant to you that any Product you purchase through the Site will be of satisfactory quality.
You warrant to us that: you have full authority, power and capacity to enter into this Agreement and that all necessary actions have been taken to enable you to lawfully enter into this Agreement you are legally capable of entering into binding contracts you are resident in the United Kingdom you are at least 18 years old the information provided in the Order is accurate and you will be able to accept delivery of the Products as contemplated in this Agreement.

Subject to the warranties set out in above, to the maximum extent permitted by applicable law we disclaim all warranties with respect to the Products, whether express or implied.

12. Limitations of liability

Nothing in this Agreement shall limit or exclude your or our liability for: (i) death or personal injury caused by negligence (ii) under section 12 of the Sale of Goods Act 1979, section 2 of the Supply of Goods and Services Act 1982, or section 2(3) of the Consumer Protection Act 1987 (iii) for fraud or fraudulent misrepresentation or (iv) for any matter for which it would be illegal for to limit or exclude, or attempt to limit or exclude, liability.

Subject to this: (i) our liability in connection with any Product purchased through our site is strictly limited to the higher of the purchase price of the relevant Product and the replacement cost of the relevant Product (ii) we accept no liability for any loss of income or revenue, loss of business, loss of profits or contracts, loss of anticipated savings, loss of data, waste of management or office time or for any indirect or consequential loss or damage of any kind however arising and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable and (iii) we will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under this Agreement caused by events outside our reasonable control.

13. General terms

Images of Products on the Site are for illustrative purposes actual Products may differ from such images - As such chair measurements are approximate.

COLOUR VARIATIONS
While every effort is made to ensure the images used to sell the item accurately reflect the item advertised, it is not always possible to ensure the item received will identically match the images we use. This is due to the differing nature of colour schemes and the monitors used by individuals viewing the item(s) on line. To get around this we offer a FREE service to supply a leather (for leather chairs/sofas etc) or colour swatch of the fabric you require before you purchase. Please ensure you take full advantage of this service as we cannot accept back items due to the item not being the Leather or colour you expected.

We will treat all your personal information that we collect in connection with your Order in accordance with the terms of our Privacy Policy use of our website will be subject to these terms and conditions.

This Agreement may only be varied by an instrument in writing signed by both you and us. We may revise these terms from time-to-time, but such revisions will not affect the terms of any Agreement which we have entered into with you.

If any provision of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of this Agreement shall remain in full force and effect, and such invalid or unenforceable provisions or portion thereof shall be deemed omitted.

No waiver of any term, provision, or condition of this Agreement, whether by conduct or otherwise, in any one or more instances, will be deemed to be, or be construed as, a further or continuing waiver of that term, provision or condition or any other term, provision or condition of this Agreement.

You may not assign charge, sub-contract or otherwise transfer this Agreement, or any of your rights or obligations arising under this Agreement. Any attempt by you to do so shall be null and void. We may assign, charge, sub-contract or otherwise transfer this Agreement, or any of our rights or obligations arising under this Agreement, at any time - providing such action does not serve to reduce the guarantees benefiting you under this Agreement.

This Agreement is made for the benefit of the parties to it and is not intended to benefit, or be enforceable by, any other person. The right of the parties to terminate, rescind, or agree any amendment, variation, waiver or settlement under this Agreement is not subject to the consent of any person who is not a party to this Agreement.

This Agreement contains the complete agreement between the parties with respect to the subject matter hereof, and supersedes all prior or contemporaneous agreements or understandings, whether oral or written.

This Agreement will be governed by and interpreted in accordance with the laws of the England, and the English courts shall have exclusive jurisdiction with respect to any dispute arising under this Agreement. If you do not agree to the terms and conditions, do not order any Products from this site. Once you place your order on our site, you indicate your acceptance of these terms and conditions.

14. Our Leather Office Chairs

All leather chairs are leather faced with simulated leather back, sides and arms, unless otherwise stated in the item description.

Please note all images used on our sites are shown for illustration purposes only, if you require a physical swatch to ensure colour requirements are met please use the contact details provided. Goods will not be accepted for return where colour expectations have not been met if this service has not been utilised.
